These Terms and Conditions (“Terms”) govern your access to and use of the EON Biotech website (“Website”), the purchase of our chemical products, the procurement of our custom synthesis/contract manufacturing, logistics services for general chemicals and dangerous goods, as well as our consultancy services (collectively, the “Services”). By accessing or using our Website or Services, you (“Buyer”, “you”, or “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or Services.
1. Definitions and Interpretation
1.1 “EON Biotech,” “we,” or “Seller” refers to the legal entity providing the Products and Services through this Website.
1.2 “Products” refers to all chemical reagents and related materials offered for research and development purposes only.
1.3 “Services” include, but are not limited to, custom synthesis/contract manufacturing, logistics services for general chemicals and dangerous goods, and consultancy services (such as synthesis research and optimization, scale-up production, literature research, article writing, formulation development, etc.).
1.4 “Buyer” means any entity that places an order for our Products or Services.
1.5 “Order” means any purchase request submitted by the Buyer for Products or Services.
1.6 “Project” refers to any custom synthesis or contract manufacturing engagement between EON Biotech and the Buyer.
Interpretation:
Headings are for convenience only and do not affect interpretation. Terms in the singular include the plural and vice versa.
2. Acceptance of Terms
2.1 By accessing our Website, placing an Order, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms, including any additional guidelines or policies referenced herein.
2.2 If you do not agree to these Terms, you must not access the Website or use any Services.
3. Amendments
3.1 We reserve the right to update or modify these Terms at any time.
3.2 Any changes will be posted on the Website with an updated “Last Updated” date. It is your responsibility to review these Terms periodically.
3.3 Continued use of the Website or Services after any modifications constitutes your acceptance of the revised Terms.
4. Registration and Account Information
4.1 In order to place an Order or access certain features of our Website, you may be required to register an account.
4.2 You agree to provide accurate, complete, and up-to-date information during registration and to update such information as necessary.
4.3 You are solely responsible for safeguarding your account credentials. Any activity under your account will be deemed to have been performed by you.
5. Privacy
5.1 Your personal data will be processed in accordance with our Privacy Policy, which forms an integral part of these Terms.
5.2 By using the Website, you consent to the collection, use, and disclosure of your personal data as described in our Privacy Policy.
6. Compliance with Laws and Regulations
6.1 General Compliance:
a. You agree to use the Website and Services only for lawful purposes and in accordance with all applicable local, state, national, and international laws.
b. EON Biotech complies with relevant regulatory requirements in the Europe, USA, China, India, Philippines and other applicable jurisdictions.
6.2 Chemical and Hazardous Materials:
a. All Products are chemical reagents intended strictly for research, manufacturing, industrial and development purposes only.
b. Products are not for human or animal use, and EON Biotech does not sell to patients.
c. Buyers must be trained and qualified to handle hazardous materials in compliance with local and international safety regulations.
6.3 Export Control:
a. All Products and Services are subject to export control laws and regulations.
b. Buyers represent and warrant that they are not located in or otherwise subject to any embargoed or prohibited jurisdiction and that they are not listed on any restricted party lists.
7. Product Information and Disclaimer
7.1 Descriptions:
a. The descriptions, specifications, and other information provided on the Website regarding Products and Services are for informational purposes only.
b. Important: None of the product descriptions have been reviewed or verified by EON Biotech.
7.2 Usage:
a. Products are supplied for research use, chemical manufacturing, industrial, and development use and must not be used for any other purpose.
b. Buyers assume full responsibility for ensuring that any use of our Products or Services complies with all applicable laws and regulations.
8. Orders and Contract Formation
8.1 Placing an Order:
a. When you place an Order, you are making an offer to purchase Products or Services in accordance with these Terms.
b. EON Biotech reserves the right to accept or reject any Order at its sole discretion.
8.2 Contract Formation:
a. A binding contract between EON Biotech and the Buyer is formed only when EON Biotech confirms acceptance of your Order via email or dispatches the Products or initiates the Service.
8.3 Order Changes and Cancellations:
a. Changes to an Order or Project require written approval from EON Biotech.
b. For custom synthesis or consultancy Services, cancellation policies as set forth in Section 11 (Custom Synthesis and Consultancy Services) will apply.
9. Pricing, Payment, and Taxes
9.1 Pricing:
a. All prices for Products and Services are quoted in U.S. dollars (or as otherwise specified) and are based on FOB (Free on Board) terms unless stated otherwise.
b. Prices are subject to change without prior notice. Written quotations are valid for 15 days from the date of issue.
9.2 Payment:
a. Payment terms are full or partial advance payment, unless otherwise agreed in writing.
b. Late payments incur interest at a rate of 1.5% per month (or the maximum rate permitted by law).
9.3 Taxes and Fees:
a. Prices do not include any applicable sales, use, excise, customs, import duties, or other taxes.
b. The Buyer is solely responsible for all such taxes and fees imposed by governmental authorities.
10. Shipping, Delivery, and Returns
10.1 Shipping and Risk:
a. Unless otherwise agreed, all Products are shipped FOB EON Biotech’s shipping point.
b. Risk of loss, damage and any other risk passes to the Buyer upon delivery to the specified shipping carrier.
10.2 Delivery Delays:
a. EON Biotech will make every effort to ship and deliver Products or commence Services promptly; however, delivery times are estimates only.
b. EON Biotech is not liable for delays caused by circumstances beyond our control (see Force Majeure, Section 14).
10.3 Inspection and Returns:
a. The Buyer must inspect Products immediately upon receipt and report any shortages, damage, or quality issues within 3 days.
b. Unauthorized returns will not be accepted.
c. For returns of catalog Products, a restocking fee may apply, and the Buyer is responsible for return shipping unless the return is due to a quality defect confirmed by EON Biotech.
10.4 Special Conditions for Custom or Special Order Products:
a. Products designated as custom synthesis or special order items may be non-returnable unless they are unqualified (i.e., not conforming to agreed specifications).
11. Custom Synthesis, Contract Manufacturing, and Consultancy Services
11.1 Scope and Project Initiation:
a. For Projects involving custom synthesis, contract manufacturing, or consultancy Services, a separate project proposal and agreement will outline specific terms, deliverables, timelines, and payment schedules.
b. Projects will commence within one week following receipt of an official Purchase Order with payment and any required documentation.
11.2 Project Management and Reporting:
a. EON Biotech will provide regular progress updates (typically every 1-2 weeks) via email or agreed communication channels.
b. Detailed progress reports, including any issues or delays, will be communicated promptly.
11.3 Specifications and Product Appearance:
a. EON Biotech guarantees that the final custom-synthesized product will have the correct chemical structure and meet the agreed purity standards (as determined by analytical techniques such as HPLC or NMR).
b. However, the physical appearance (color, crystal form, morphology, or state—e.g., oily, semi-solid, viscous, or wax-like) may differ from literature descriptions.
c. Should such differences arise, EON Biotech will notify the Buyer prior to shipment and may provide additional options if required.
11.4 Lead Time and Project Adjustments:
a. Estimated lead times are based on literature methods and may be subject to extension due to unforeseen chemistry challenges or availability of materials.
b. EON Biotech will notify the Buyer in advance of any significant delays.
11.5 Cancellation Policies:
a. Buyer Cancellation: The Buyer may cancel a Project with at least 30 days’ prior written notice. In such cases, the Buyer is obligated to pay for all work, materials, and services expended up to the effective date of cancellation.
b. EON Biotech Cancellation: EON Biotech reserves the right to cancel a Project if synthetic procedures prove non-feasible, non-reproducible, or if unforeseen issues arise. In such instances, no further payment will be requested beyond work completed up to the cancellation date.
12. Intellectual Property
12.1 Ownership:
a. All intellectual property rights, including copyrights, trademarks, and proprietary information associated with the Website and any Products or Services, remain the sole property of EON Biotech or its licensors.
13. Limitation of Liability and Indemnity
13.1 Limitation of Liability:
a. To the fullest extent permitted by law, EON Biotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or revenue, arising from or in connection with the use or inability to use our Products or Services—even if EON Biotech has been advised of the possibility of such damages.
b. In no event shall our total liability exceed the amount paid by the Buyer for the relevant Product or Service.
13.2 Indemnity:
a. You agree to indemnify, defend, and hold harmless EON Biotech, its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Products or Services.
14. Safety, Hazardous Materials, and Environmental Compliance
14.1 Hazardous Chemicals:
a. Many of our Products are hazardous chemicals that must be handled only by individuals trained in laboratory procedures and familiar with potential chemical hazards.
b. The Buyer is solely responsible for safe handling, use, storage, and disposal of all Products in accordance with applicable laws and regulations.
14.2 Environmental Sustainability:
a. EON Biotech is committed to environmental sustainability and complies with all applicable environmental laws and regulations.
b. We strive to ensure that hazardous waste is managed in an environmentally responsible manner.
14.3 Safety Data:
a. Each Product is accompanied by a Material Safety Data Sheet (MSDS) or equivalent documentation in compliance with relevant regulations (e.g., OSHA, REACH).
b. Buyers must review these documents to ensure safe use of the Products.
15. Governing Law and Dispute Resolution
15.1 Governing Law:
a. These Terms and any disputes arising in connection with them shall be governed by and construed in accordance with the laws applicable in the United Kingdom.
b. Notwithstanding the above, in connection with the sale of Products or the provision of Services to Buyers in the USA, Europe, China, India, or other jurisdictions, applicable local laws and regulations shall be observed.
15.2 Dispute Resolution:
a. Any controversy or claim arising out of or relating to these Terms shall be resolved first through friendly negotiations between the parties.
b. If no resolution is reached within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of an agreed arbitration body (e.g., JAMS) and conducted in English.
c. The venue for arbitration shall be London in United Kingdom.
16. Force Majeure
16.1 EON Biotech shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government restrictions, strikes, labor disputes, or supply chain interruptions.
17. Miscellaneous
17.1 No Waiver:
a. Failure by EON Biotech to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.2 Severability:
a. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
17.3 Entire Agreement:
a. These Terms, together with any additional agreements, proposals, or policies referenced herein, constitute the entire agreement between you and EON Biotech regarding the use of our Website, Products, and Services.
17.4 Assignment:
a. You may not assign or transfer these Terms or any rights hereunder without the prior written consent of EON Biotech. Any attempted assignment in violation of this provision shall be null and void.
17.5 Notices:
a. Any notices required or permitted under these Terms shall be given in writing and sent to the addresses provided on the Website or as otherwise agreed in writing.
18. Promotional Offers
18.1 Promo Codes and Discounts:
a. Promotional codes, discounts, or offers (“Promo Codes”) may be applicable to certain orders, subject to specified terms and conditions.
b. Promo Codes cannot be applied retrospectively and may not be combined with other offers unless explicitly stated.
c. Promo Codes are non-transferable and cannot be redeemed for cash or credit.
